Terms of Service

1. Agreement and eligibility

You accept these Terms by creating an account, purchasing or renewing a plan, activating a license, downloading the plugin, or otherwise using the Service. If you use Saathi for a company or other organisation, you confirm that you have authority to bind it.

You must be at least 18 years old and legally capable of entering a contract. If you do not agree, do not use the Service. Mandatory rights available to a consumer under applicable law are not excluded by these Terms.

2. What Saathi provides

Saathi includes a marketing website, account and profile dashboard, plan checkout, payment and receipt records, license-key service, plugin download, documentation, support, a public AI demo, and a self-hosted WordPress chatbot plugin.

Feature availability depends on the active plan, WordPress and WooCommerce versions, the customer's hosting environment, the selected AI provider, third-party APIs and configuration. Documentation and feature descriptions explain current intended behavior; they are not a guarantee that every feature will suit every site or use case.

3. Accounts and security

• Provide accurate, complete and current account and business-profile information.
• Use an email address you control and protect access to that email, your WordPress admin, hosting and AI-provider accounts.
• Do not share authentication codes or allow unauthorised account use.
• Notify us promptly through the contact page if you suspect account, license or payment misuse.

You are responsible for activity carried out through your account except to the extent caused by our breach of duty or otherwise provided by law. We may request verification before changing ownership, disclosing records or processing sensitive account requests.

4. Plans, prices and billing

Current plans

The current public plans are Free, Pro and Max. Features, activation limits, price, currency and term are displayed on the Pricing page and checkout before payment.

• Prices are charged in Indian Rupees unless checkout clearly states another currency. Approximate foreign-currency figures are informational and may differ from the issuer's conversion.
• Applicable taxes and any compulsory charges will be shown as required before payment.
• Payments are processed through Razorpay. The payment provider's terms may also apply.
• A successful payment extends or issues access for the term shown. A failed, pending or unverified payment does not create paid access.
• We may change future prices or plans. A price change does not alter a term already paid for.
• Legacy lifetime licenses already validly issued remain subject to their recorded license status and the terms applicable when purchased.

Refund eligibility is governed by the Refund & Cancellation Policy. The current voluntary change-of-mind request window is 24 hours from successful payment.

5. Digital delivery and activation

Saathi is a digital service; no physical item is shipped. After a successful payment or Free-plan claim, the dashboard displays the license and makes the plugin download available. A receipt and license notice are also sent to the account email on a best-effort basis.

If payment succeeds but the license or download does not appear, do not purchase again. Contact us with the account email and Razorpay payment or order identifier. We will reconcile the transaction and either provide access or process the remedy required by the Refund Policy and applicable law.

6. Website activation and open-source license

Each plan permits the number of active website domains displayed at purchase, currently one website per license. A domain activation associates that installation with the plan. You may remove an old activation and activate an eligible replacement through available tools or support.

The Saathi WordPress plugin code is licensed under the GNU General Public License, version 2 or later (GPL-2.0-or-later). The GPL notice distributed with the plugin controls your rights to use, study, modify and redistribute the covered code. These Terms do not take away rights granted by the GPL.

The hosted account, payment, update, support and license-validation services are separate services. You may not obtain those hosted services through fraud, stolen credentials, fabricated payment status, abusive traffic, or another person's account or license. License-key access to paid hosted entitlements ends when its paid term expires or the key is lawfully suspended.

7. Bring-your-own AI provider

The installed plugin requires a compatible AI model or provider selected by the website owner. You are responsible for:

• the provider account, API key, model, endpoint, rate limits and provider charges;
• reviewing that provider's privacy, retention, acceptable-use and geographic-processing terms;
• obtaining any consent or other lawful basis needed to send visitor messages and website excerpts to that provider;
• setting appropriate prompts, moderation, memory and knowledge sources; and
• monitoring output quality for your industry and use case.

Third-party AI charges are not Saathi fees and cannot be refunded by NEER Media. Provider downtime, model withdrawal, output changes or policy changes may affect the plugin even when Saathi itself is functioning.

8. Your content, visitors and privacy duties

You retain ownership of your website content and business data. You grant the limited permission necessary for the plugin to read, index, transform and send selected content to your chosen provider for operating the chatbot.

You are responsible for ensuring that content you index or submit is lawful and that you have the rights to use it. For chatbot visitors on your site, you determine the purpose and means of processing and must provide an accurate privacy notice, consent controls where needed, retention choices, and a way to exercise applicable rights.

Do not configure Saathi to solicit passwords, OTPs, full payment credentials, government identifiers, health records or other high-risk data unless your use is lawful, necessary, appropriately secured and expressly supported by your own policies. Saathi is not designed as an emergency, medical, legal, financial, employment-screening or other high-stakes decision system.

9. WooCommerce and customer transactions

Max-plan commerce tools may display products, prices, ratings and availability from the connected WooCommerce store and may help a visitor add an item to cart or open checkout. The merchant, not NEER Media, is the seller of those goods or services and remains responsible for:

• accurate product descriptions, price, stock, tax, delivery, warranty and return information;
• reviewing chatbot recommendations and preventing misleading claims;
• the WooCommerce checkout, order acceptance, fulfilment, customer service and refunds; and
• consumer, product-safety, tax, advertising and e-commerce compliance.

Adding an item to a cart is not confirmation that an order has been accepted or fulfilled.

10. Acceptable use

You must not use the Service to:

• break the law, infringe rights, deceive, defraud, harass, threaten or facilitate harm;
• generate or distribute malware, phishing, credential theft, spam or unlawful surveillance;
• process children's data or sensitive data contrary to applicable law;
• probe, overload, disrupt or bypass security of our hosted website, APIs, accounts, payment or license services;
• misrepresent AI output as professional advice or a guaranteed fact where that could cause harm;
• resell, share or use a hosted entitlement beyond the purchased domain/activation limit; or
• remove notices or misuse Saathi or NEER Media trademarks in a way that suggests false sponsorship.

This section does not restrict rights expressly granted by the GPL for covered plugin code.

11. Intellectual property and feedback

Except for code licensed under an open-source license and third-party materials, NEER Media owns the hosted Service, website content, documentation, visual assets, product design and the Saathi and NEER Media names and marks. No trademark license is granted except the limited use necessary to identify a genuine integration.

If you voluntarily submit feedback or suggestions, you allow us to use them to improve Saathi without payment or confidentiality obligation, provided we do not publicly identify you without permission.

12. Changes, maintenance and third parties

We may maintain, secure, update or change the Service and may retire a feature where reasonably necessary. We aim to avoid materially reducing a paid term without a reasonable substitute, credit or other remedy where required. Maintenance, internet failures, hosting incidents, WordPress conflicts and third-party providers can cause interruptions.

Links and integrations with Google, Razorpay, Hostinger, WooCommerce, WordPress and AI providers do not make us responsible for their independent services. Their terms, security and availability apply separately.

13. AI output and service disclaimers

AI output is probabilistic and may be incomplete, inaccurate, outdated, biased or inappropriate. Knowledge retrieval reduces invented answers but cannot guarantee factual correctness. You must review configuration and test important customer journeys before relying on output.

To the maximum extent permitted by law, the Service is provided "as available" without implied warranties that can lawfully be excluded. We do not guarantee uninterrupted operation, a particular commercial result, sales, ranking, regulatory compliance, or compatibility with every theme, plugin, host or model. Nothing here excludes an express promise displayed at purchase or a warranty that cannot lawfully be excluded.

14. Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary or consequential loss, or loss of profit, revenue, goodwill or data, where such loss was not a reasonably foreseeable result of that party's breach.

NEER Media's aggregate liability arising from the paid Service is limited to the amount you paid NEER Media for Saathi during the 12 months before the event giving rise to the claim. For a Free plan, aggregate liability is limited to INR 1,000.

These limits do not apply to fraud, wilful misconduct, breach of confidentiality, infringement for which liability cannot be limited, death or personal injury caused by negligence, statutory consumer remedies, or any liability that applicable law does not allow us to exclude or limit.

For business use, you will reasonably cooperate in defending a third-party claim caused by your unlawful content, unlawful chatbot deployment or breach of Sections 8-10, and will indemnify NEER Media to the extent finally determined or agreed in a settlement you approve.

15. Suspension, termination and effect

You may stop using Saathi at any time. Current paid plans do not auto-renew, so allowing the paid term to expire stops future paid access without a cancellation charge.

We may suspend or restrict hosted access where reasonably necessary for security, fraud, non-payment, legal compliance, harmful use or a material breach. Where practical, we will notify you and allow a reasonable opportunity to cure. Immediate action may be taken for urgent risk or unlawful activity.

On expiry or termination, paid hosted entitlements and support may end. Data in your own WordPress database remains under your control. Provisions that by nature should survive, including payment records, open-source licenses, intellectual property, disclaimers, liability and dispute terms, continue to apply.

16. Changes to these Terms

We may update these Terms for product, security, provider or legal changes. The effective date and version will be updated here. Material changes affecting an active paid term will be notified through the website, dashboard or account email where appropriate. Changes apply prospectively and do not retroactively remove a refund or other right that applied when a purchase was made.

17. Governing law, disputes and contact

These Terms are governed by the laws of India. Subject to mandatory consumer jurisdiction, courts in Ahmedabad, Gujarat will have jurisdiction. Before filing a formal claim, please send a detailed grievance so both sides can try to resolve it in good faith.

We aim to acknowledge consumer grievances within 48 hours and resolve them within 30 days. This does not shorten any statutory limitation period or prevent a consumer from using a competent consumer commission, regulator or other remedy.
